1. Acceptance of terms

These Terms of Service ("Terms") are a binding contract between you (an individual or legal entity, "Customer", "you") and F3 Tech Labs (Prajnya) ("F3", "we", "us", or "our"), located at Gujargari — Almora — UK. By (a) accessing or using our website or Services, (b) subscribing to or purchasing an Agreement, or (c) clicking an "I accept" or similar button, you agree to be bound by these Terms and any order forms, statements of work, or additional terms we provide (together, the "Agreement").

If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization.

2. Definitions

"Services" means the SaaS products, hosted software, support, professional services, subscriptions, and any future license-based offerings provided by F3.

"Customer Data" means data and content submitted, uploaded, or processed by Customer through the Services. "Order" means an accepted order form or online subscription agreement describing Services, Fees, users and term.

3. Services, licenses and scope

Subject to these Terms and timely payment of Fees, F3 grants Customer a non-exclusive, non-transferable, revocable right to access and use the Services solely for Customer's internal business purposes during the Term. Specific license types (user-based, seat, instance, or perpetual license if offered) will be described in applicable Order(s).

  • F3 may provide Services through subscription, pay-as-you-go, or separate license agreements; each Order controls for the Services it references.
  • F3 retains all intellectual property rights in the Services, software, documentation and derivative works unless expressly assigned in a signed agreement.
  • Customer may not reverse engineer, copy, modify, distribute, sublicense, or create derivative works from the Services except as explicitly permitted in writing.

4. Fees, billing and refunds

Customer shall pay all Fees set forth in Orders. Fees are non-refundable except as otherwise stated in the Order or when required by applicable law.

Billing & automatic renewal

Orders for subscription Services may automatically renew unless Customer cancels before the renewal date. Where required by law (for example under certain U.S. state laws and EU consumer protection rules), we will obtain affirmative consent for automatic renewals and provide clear pre-renewal notices and an easy cancellation mechanism. Taxes

Fees exclude applicable taxes, duties, and levies. Customer is responsible for taxes arising from its purchase except taxes based on F3's net income.

Late payments

Late payments may accrue interest and F3 may suspend Services for overdue amounts after notice (subject to consumer and local enforcement laws where applicable).

5. Support, service levels and maintenance

F3 provides support and maintenance in accordance with the support plan described in the Order or in a separate Service Level Agreement ("SLA"). The SLA (if any) contains service availability targets, response times, and service credit remedies (if applicable). Service credits are Customer's sole and exclusive remedy for SLA failures, except where prohibited by law.

Planned maintenance & downtime

F3 may schedule planned maintenance and apply updates/patches; we will provide advance notice where practical. Emergency maintenance may occur with minimal notice to address urgent security or operational issues.

Professional services

Professional services (configuration, custom integration, consulting) are provided per statement of work and billed separately. Customer is responsible for approving deliverables and providing required cooperation.

6. Acceptable use and prohibited activities

Customer shall not, and shall ensure its users do not:

  • Use Services to violate any law, infringe third-party rights, transmit malware, or perform illegal activities;
  • Attempt to gain unauthorized access to the Services, interfere with integrity or performance, or bypass security;
  • Reverse engineer or decompile the Services except where permitted by applicable law;
  • Use Services to transmit content that is illegal, defamatory, discriminatory or violates privacy or export laws.

F3 may suspend or terminate access for violations of this section after notice (except in emergencies where immediate action is required).

7. Intellectual property, feedback & open source

Except for Customer Data and Customer-owned custom work for which Customer has paid, F3 retains all right, title and interest in the Services, software, methods and improvements. Customer grants F3 a license to use aggregated, de-identified usage data for product improvement and analytics.

If Customer submits feedback, ideas, or suggestions ("Feedback"), Customer grants F3 a worldwide, royalty-free, perpetual license to use and incorporate Feedback into the Services.

Some components of the Services may be open-source; their use is governed by the applicable open-source license and not restricted by these Terms except to the extent lawful.

8. Warranties and disclaimers

F3 warrants that (a) the Services will materially conform to the documentation for the applicable subscription during the Term, and (b) it will provide support as described in the applicable SLA or Order.

EXCEPT FOR THE EXPRESS WARRANTIES ABOVE, THE SERVICES ARE PROVIDED "AS IS" AND F3 DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Limitations of liability & indemnity

Indemnity

Customer shall defend and indemnify F3 from third-party claims arising out of Customer Data, Customer's breach of these Terms, or Customer's misuse of the Services. F3 shall indemnify Customer against claims that the Services infringe a third party's copyrights or patents, provided Customer (i) gives prompt notice, (ii) allows F3 to control the defense, and (iii) provides reasonable cooperation.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE FOR (A) INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES; OR (B) LOSS OF PROFITS, REVENUE, BUSINESS OR DATA. F3'S AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING FROM OR RELATED TO THESE TERMS WILL BE LIMITED TO THE AMOUNTS PAID BY CUSTOMER TO F3 UNDER THE APPLICABLE ORDER IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR TO AN ALTERNATIVE AMOUNT STATED IN THE ORDER.

10. Privacy and data protection

F3 processes Customer Data according to our Privacy Policy and, when applicable, a Data Processing Agreement ("DPA") that sets out data protection obligations, subprocessors, and international transfer safeguards. Where Customers are controllers and F3 acts as a processor, F3 will only process personal data per Customer instructions or as required by law.

11. Export controls, sanctions and compliance

Customer acknowledges that the Services and related technical data may be subject to export, sanctions, and import control laws (including U.S., UK, EU, and other applicable laws). Customer represents and warrants that it will comply with all such laws when using the Services and will not: (a) export or re-export the Services or software to prohibited destinations; (b) permit access by persons or entities on applicable denied or restricted party lists; or (c) use the Services for prohibited military, weapons, or nuclear activities without proper authorization.

F3 may suspend Services if required for legal compliance or if Customer or its users are subject to sanctions or export restrictions. 12. Third-party services and integrations

The Services may integrate with third-party products and services (payment processors, cloud hosts, analytics). Use of third-party services is subject to the third party's terms and privacy policies. F3 is not responsible for third-party performance or availability.

13. Open-source components

Parts of the Services may include open-source software. Such components are governed by the associated open-source licenses and are provided "as is" as per their terms.

14. Security

F3 implements commercially reasonable administrative, technical, and organizational safeguards appropriate to the risk, such as TLS in transit, access controls, logging and vulnerability management. Customers are responsible for secure configuration of their account, user authentication, and safeguarding credentials. Upon becoming aware of a security incident affecting Customer Data, F3 will follow its incident response procedures and notify Customer as required by law and contract.

15. Term and termination

The Term begins on the effective date in the Order and continues for the period stated. Either party may terminate for the other's material breach if not cured within the stated cure period. Upon termination, Customer's right to access the Services ends and we may delete or destroy Customer Data in accordance with the DPA and retention policy.

Certain obligations (payment, confidentiality, indemnity, liability limitations, and IP ownership) survive termination.

16. Governing law, disputes, and arbitration

Unless otherwise agreed in an Order, these Terms and any dispute will be governed by the laws of the United Kingdom (without regard to conflict of laws rules), unless Customer is a consumer in the EU in which case local consumer protections may apply. The parties will attempt to resolve disputes amicably; if unresolved, disputes will be resolved by arbitration or in courts as specified in an Order.

Parties operating across jurisdictions should select mutually acceptable law and venue clauses in their Order to reduce uncertainty.

17. Confidentiality, assignment, subcontracting

Each party shall keep confidential the other's Confidential Information and may not disclose it except to employees or subcontractors who need access and are bound by confidentiality obligations. Customer may not assign the Agreement without F3's prior written consent, except to an affiliate or successor in a merger. F3 may engage subprocessors and subcontractors (hosts, analytics, support) and will remain responsible for their compliance with applicable obligations.

18. Force majeure

Neither party is liable for delay or failure caused by events beyond reasonable control (acts of God, war, terrorism, Internet backbone failures, government actions). The affected party will notify the other and take reasonable steps to resume performance.

19. Notices

Notices are given by email to the addresses in the Order or to legal@prajnya.com (for F3) and are effective when received. For judicial notices, use the postal address below.

20. Entire agreement and order precedence

These Terms, together with Orders, the DPA, SLA and other attachments, constitute the entire agreement. In case of conflict, the Order controls, then the DPA (for privacy matters), then these Terms.

22. Important notices & consumer rights
